Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On August 27, 2019, NASDAQ Stock Market LLC (“Nasdaq”) notified STRATA Skin Sciences, Inc. (the “Company”) that the Company has until September 30, 2019 to regain compliance with NASDAQ Listing Rule 5250(c)(1), which
requires Nasdaq-listed companies to timely file all periodic reports with the Securities and Exchange Commission (the “Nasdaq Rules”), with respect to the Company’s Annual Report on Form 10-K for the year ended December 31, 2018 and Quarterly
Reports on Form 10-Q for the quarter ended March 31, 2019 and for the quarter ended June 30, 2019 (collectively, the “Delinquent Filings”). Nasdaq had previously granted the Company until August 30, 2019 to regain compliance with the Nasdaq Rules.
In the event the Company does not file all Delinquent Filings by September 30, 2019, Nasdaq will provide written notification that the Company’s securities will be delisted. At that time, the Company may appeal Nasdaq’s determination to a hearing
panel.
